Position Description

The Company Secretary / Executive Assistant to the CEO is a critical governance and executive support role responsible for ensuring the organisation meets its statutory, regulatory and governance obligations while also providing high-level executive support to the CEO.
This role acts as the primary liaison between the Board and management and supports the effectiveness, integrity and compliance of the organisation’s governance framework. This role support to CEO in organisational support.

Key Responsibilities

Key Responsibilities: 

Company Secretariat & Governance

  • Act as Company Secretary in accordance with the Corporations Act 2001 and ACNC requirements.

  • Advise the Board and CEO on governance best practice and statutory obligations.

  • Coordinate Board and Committee meetings including:

    • Annual calendar planning

    • Agenda development in consultation with the Chair and CEO

    • Collation and distribution of Board papers

    • Attendance and accurate minute taking

  • Maintain statutory registers and ensure timely regulatory filings.

  • Oversee Board induction processes and maintain governance documentation.

  • Monitor Board action registers and ensure follow-up of resolutions.

  • Support the annual review of Board policies and governance frameworks.

Board & Chair Support

  • Serve as primary point of contact for Board Directors.

  • Support the Chair with governance coordination and communication.

  • Manage confidential Board correspondence.

  • Assist with Board performance reviews and annual planning processes.

Executive Assistant to the CEO

  • Provide proactive and high-level executive support to the CEO, including complex diary management.

  • Prepare briefings, presentations, correspondence and reports.

  • Coordinate travel, stakeholder meetings and speaking engagements.

  • Act as gatekeeper while ensuring positive stakeholder experience.

  • Support preparation of CEO reports and executive leadership materials.

Organisational Coordination & Compliance

  • Support the CEO and Executive Leadership Team with key organisational priorities.

  • Assist in tracking strategic initiatives and governance deliverables.

  • Governance obligations are met accurately and on time.

  • Ensure policy registers and key compliance documentation are maintained.

  • Support risk and compliance reporting to the Board.

KNOWLEDGE & EXPERIENCE

Essential Skills and Experience 

  • Demonstrated experience as a Company Secretary or in governance support (preferably within a not-for-profit or regulated environment). 
  • Experience supporting a CEO or senior executive. 
  • Strong understanding of Australian corporate governance and ACNC requirements. 
  • Excellent interpersonal and leadership skills with a collaborative and strategic mindset. 
  • Commitment to HFHA’s mission and values.

  • Tertiary qualifications in law (preferred)  

Skills & Capabilities

  • Ability to manage sensitive and confidential information with discretion. 
  • Advanced proficiency in Microsoft Office and Board portal systems.
